This Advisory is prompted by the information gathered by the Securities and Exchange Commission that an entity, H O P E ADVERTISEMENT MARKETING/H O P E FINANCIAL MARKETING OPC headed by RIZALYN LOPEZ is enticing the public, through social media to invest. RIZALYN LOPEZ H O P E ADVERTISEMENT MARKETING/H O P E FINANCIAL MARKETING OPC is soliciting investments from the public using the following logo: HTcADC While H O P E FINANCIAL MARKETING OPC is registered with the Commission, however, IT DOES NOT HAVE THE AUTHORITY TO ENGAGE IN ANY OF THE REGULATED ACTIVITIES OF THE COMMISSION SUCH AS OFFERING AND/OR SELLING SECURITIES TO THE PUBLIC . However, in order to create a semblance of regularity, H O P E FINANCIAL MARKETING OPC is presenting to the public through the use of social media, a TAMPERED Certificate of Incorporation as shown below: H O P E ADVERTISEMENT MARKETING/H O P E FINANCIAL MARKETING OPC is found not to be engaged in any legitimate business that would generate legitimate income. Nonetheless, it entices the public to invest online for as low as Php1,000.00: CAIHTE 1. Short Term Plan minimum Php1,000.00 and a maximum Php3,000.00 investment with a 20% guaranteed profit in 8 days , giving the investor a total amount of Php1,2000.00 and Php3,600.00 with an additional 10% referral commission on invites and 1% to 2% royalty reward (indirect invite) ; 2. Long Term Plan minimum Php5,000.00 and a maximum Php20,000.00 investment with a 90% guaranteed profit in 25 days , giving the investor a total amount of Php9,500.00 and Php38,000.00 with an additional 10% referral commission on invites and 1% to 2% royalty reward (indirect invite) ; 3. Lock-in Contract Plan Php50,000.00 investment with 160% guaranteed profit in 40 days , giving the investor a total amount of 130,000.00 with an additional 10% referral commission on invites, 8% loyalty rebate earnings for every pay-in and 1% to 2% royalty reward (indirect invite) . Lock-in Contract Plan provides for a one-time receipt of post-dated check; and 4. Monthly Profit-Sharing Plan Php50,000.00 investment with 40% guaranteed profit monthly for 5 months plus a 140% guaranteed profit on the 6th month , with an additional 10% referral commission on invites, 8% loyalty rebate earnings for every pay in and 1% to 2% royalty reward (indirect invite) . It is important to note that the investment opportunities being offered by RIZALYN LOPEZ/HOPE Financial/HOPE Advertisement satisfies all the requirements of an offering of securities in the form of an investment contract. Moreover, the offering of such investment opportunities to the public through the use of social media, amounts to public offering of securities as defined under S R C Rule 3.1.17. Therefore, the offering of such unregistered investment opportunity by RIZALYN LOPEZ/HOPE Financial/HOPE Advertisement without the necessary registration with the Commission constitutes violations of Sections 8 and 28 of the SRC. The same likewise constitute investment fraud in violation of Section 26 of the Securities Regulation Code and Section 11 of the Financial Products and Services Consumer Protection Act (FCPA). aScITE Accordingly, the Commission warns all unscrupulous individuals and/or entities that strict penalties are imposed for violations of the Securities Regulation Code, the Revised Corporation Code of the Philippines and such other laws, rules and regulations enforced by the Commission . Those who act as salesmen, brokers, dealers or agents of RIZALYN LOPEZ/H O P E ADVERTISEMENT MARKETING/H O P E FINANCIAL MARKETING OPC in selling or convincing people to invest in the investment scheme being offered by said entity including solicitations and recruitment through the internet may be prosecuted and held criminally liable under Section 28 of the SRC and Section 11 of the FCPA separately penalized with a maximum fine of Five Million pesos (Php5,000,000.00) or penalty of Twenty-one (21) years of imprisonment or both pursuant to Section 73 of the SRC (G.R. No. 195542, 19 March 2014) .
