October 12, 2023 ENFORCEMENT AND INVESTOR PROTECTION DEPARTMENT SEC ADVISORY Based on reports and information gathered by the Commission, individuals or group of persons claiming to represent GRIND O'CLOCK CORPORATION , are enticing the public, through social media to invest in said entity. GRIND O'CLOCK CORPORATION was established by Mr. RENZ CARLO USON who claims to be a seasoned developer, technology consultant and digital marketing specialist. Grind O'clock claims that it is a talent and entertainment company focused on developing talents and connecting brands and businesses to their audience through media properties. It further claims that it aims to help and support talents in the Philippines such as steamers, content creators, hosts and shout casters. They also provide internal trainings and programs to help their talents to boost their potential in their chosen path. As posted online, the company is looking for silent investors to finance their initial expenses such as compensation, office infrastructure, and boot camps. One may invest a minimum amount of Php50,000.00 for a lock-in period of six months to be able to receive a return of 5% monthly interest or Php100,000.00 for a lock-in period of six months to be able to receive a return of 10% monthly interest, as shown in the post of Mr. Uson below: HTcADC In this regard, the public is made aware that an "investment contract," which is a kind of security, exists when there is an investment or placement of money in a common enterprise with a reasonable expectation of profits to be derived from the efforts of others, which is prominent in the scheme of GRIND O'CLOCK CORPORATION . As such, the Securities Regulation Code (SRC) requires that said offer and/or sale of securities must be duly registered with the Commission and that the concerned entity and/or its agents should have the appropriate registration and/or license to sell such securities to the public. In other words, though the said company is registered, it does not have the necessary Secondary License from the Commission to authorize GRIND O'CLOCK CORPORATION to solicit investments from the public. Moreover, the Financial Products and Services Consumer Protection Act (FCPA) also prohibits investment fraud which is defined under the law as any form of deceptive solicitation of investments from the public which includes Ponzi schemes and such other schemes involving the promise or offer of profits or returns sourced from the investments or contributions made by the investors themselves and the offering or selling of investment schemes to the public without a license. In view thereof, the public is hereby advised NOT TO INVEST or to STOP INVESTING in the investment scheme being offered by GRIND O'CLOCK CORPORATION , and its representatives .
