February 8, 2022 ENFORCEMENT AND INVESTOR PROTECTION DEPARTMENT SEC ADVISORY The Securities and Exchange Commission ("Commission") has received information that individuals or group of persons representing GLOBAL BOOKING HUB/GLOBAL BOOKING HUB.COM/GBH/GBH-12 CONSUMER GOODS TRADING have been soliciting investment from the public. Based on information gathered by the Commission, GLOBAL BOOKING HUB/GLOBAL BOOKING HUB.COM/GBH/EASY MONEY VLOGS / are a group of persons claiming to engaged in delivery service, forex and appears to be promoting the "TORA TOKEN" with ticker symbol " TRA ." GLOBAL BOOKING HUB (GBH) appears to be a DTI-registered entity operating under the name GBH-12 CONSUMER GOODS TRADING with CERTIFICATE NO. 3356904 (issued on 10 December 2021) operated by a certain MASAHIKO FERRER TANAKA . Investigation disclosed that the following websites are used to operate the activities of GLOBAL BOOKING HUB and its TORA (TRA) token : 1) https://globalbookinghub.com/landing/ and 2) https://toratoken.org/landing/ In its website, it intends to create an impression that it is a delivery service/third party logistics service provider, as shown below: CScTED GLOBAL BOOKING HUB/GLOBAL BOOKING HUB.COM/GBH/GBH-12 CONSUMER GOODS TRADING even claims in its website that similar service providers such as LALAMOVE , GRAB and TOKTOK are affiliated with it. Among its activities is to entice its prospective clients to invest an amount ranging from P1,000 to P10,000 in its "Booking Loads" Plan as part of its "GET TO EARN LOAD WALLET AND GET CASH VIA FOREX" where it promises investors passive income of 6% daily or 360% for 60 days or actual profits of P3,600 up to P36,000 . GLOBAL BOOKING HUB/GLOBAL BOOKING HUB.COM/GBH/GBH-12 CONSUMER GOODS TRADING markets the "TORA TOKEN" with ticker symbol "TRA" to the public. According to the TORA website, 1 TORA is a "utility token" and a "blockchain-based marketplace." The token "allows buyers & seller to utilize load walleting via unique artificial intelligence approach, using TORA as utility token ." Investigation disclosed that investors are instructed to deposit their money in an account under the UNIONBANK and GCASH of the following individuals: Rommel Ponting and Mark Delos Reyes and to register in their website: https://globalbookinghub.com/landing/ . GLOBAL BOOKING HUB/GLOBAL BOOKING HUB.COM/GBH/EASY MONEY VLOGS are not authorized to solicit investments from the public as these entities are NOT REGISTERED with the Commission and cannot therefore secure prior registration and/or license to solicit investments from the Commission as prescribed under Section 8 of the Securities Regulation Code. Further, GLOBAL BOOKING HUB/GLOBAL BOOKING HUB.COM/GBH/GBH-12 CONSUMER GOODS TRADING is NOT REGISTERED as a Virtual Asset Service Provider (VASP) with the Bangko Sentral ng Pilipinas (BSP) and DOES NOT HAVE A CORRESPONDING CERTIFICATE OF AUTHORITY as a Money Service Business (MSB) required under the Guidelines for Virtual Asset Service Providers (BSP Circular No. 1108, Series of 2021). In addition, GLOBAL BOOKING HUB/GLOBAL BOOKING HUB.COM/GBH/GBH-12 CONSUMER GOODS TRADING DOES NOT APPEAR among those listed as registered MSBs as of January 2021 with the Anti-Money Laundering Council under the Anti-Money Laundering Act. As mentioned in our SEC Advisory on Initial Coin Offerings and Virtual Currency posted 08 January 2018 an ICO is the first sale and issuance of a new virtual currency to the public usually for the purpose of raising capital for start-up companies or funding independent projects. cDCEIA Hence, depending on the facts and circumstances surrounding their issuance, some of these new virtual currencies follow the nature of a security as defined by Section 3.1 of the Securities Regulation Code (SRC) whereby a person invests money in a common enterprise and is led to expect profits primarily from the efforts of others. The same goes with the said TORA (TRA) Token . Since the TORA (TRA) Token and "BOOKING LOADS PLAN" being offered by GLOBAL BOOKING HUB/GLOBAL BOOKING HUB.COM/GBH/GBH-12 CONSUMER GOODS TRADING are securities, Section 8 of the SRC requires that said offer and sale of said securities must be duly registered with the Commission and that its agents must have appropriate registration and/or license to sell such securities to the public. The public is hereby warned that such investment schemes are considered as securities subject to the regulatory authority of this Commission. The offering and selling of securities to the public without a permit or license is a violation of Section 8.1. of the Securities Regulation Code. Moreover, the Commission currently does not allow the registration of Foreign Exchange (FOREX) in the nature of Commodity/Financial Futures Contract, Contracts for Differences (CFDs) and other similar highly-volatile and risky derivatives nor Commodity Futures Exchanges and commodity merchants/brokers, as the public trading thereof and the pertinent rules governing these securities remain suspended pursuant to Section 11 of the 2015 Implementing Rules and Regulations of the SRC. In other words, since the Commission has not yet registered a commodity futures exchange, it follows that no commodity futures merchant shall likewise be registered and allowed to solicit investments in the Philippines in commodity futures contracts, otherwise known as leveraged foreign currency contracts or margin trading. Accordingly, those who invite or recruit other people to join or invest in this venture or offer investment contracts or securities to the public may be held criminally liable under Section 28 of the SRC penalized with a maximum fine of Five Million Pesos (P5,000,000.00) or imprisonment of Twenty One (21) years or both pursuant to Section 73 of the SRC (SEC vs. Oudine Santos, G.R. No. 195542, 19 March 2014) . In view thereof, the public is hereby advised to exercise caution before investing in these kinds of activities and to take the necessary precautions in dealing with GLOBAL BOOKING HUB/GLOBAL BOOKING HUB.COM/GBH/GBH-12 CONSUMER GOODS TRADING and its representatives.
