April 20, 2021 ENFORCEMENT AND INVESTOR PROTECTION DEPARTMENT SEC ADVISORY Based on the information gathered by the Commission, a number of individuals or group of persons claiming to represent BEYOND GENERATIONS DIGITAL MARKETING SERVICES , headed by Ivan Jao Robles , are enticing the public to invest their money in said entity. As posted online, BEYOND GENERATIONS DIGITAL MARKETING SERVICES is offering investments to the public with a minimum amount worth Php1,000.00 per account. A member will earn 10% daily for 20 business days or 200% return and has the option to earn more through the following: 1. Generations Rewards a member may earn 100% of its capital depending on how many accounts purchased. 2. Mirror Rewards a member has a potential to earn P2,000.00 by recruiting at least two persons in Beyond Generation. The member has to help the two new members to each recruit another two new members to earn the mirror rewards. 3. Sponsorship Rewards a member will earn P100 for every person he recruits. The member may also earn P100 for every account the person he recruited acquires. 4. Matching Rewards if a member generates sales on his left and right team, the member will earn P100 for every matching pair. A maximum of 20 matching pairs per day is allowed. 5. Unilevel Rewards a member will earn P10.00 from 1st level to 10th level. As the above described schemes involve the sale of securities to the public, the Securities Regulation Code (SRC) requires that these securities are duly registered and that the concerned corporation and/or its agents have appropriate registration and/or license to sell such securities to the public pursuant to Sections 8 and 28 of the SRC. Records of the Commission show that BEYOND GENERATIONS DIGITAL MARKETING SERVICES is not registered with the Commission either as a corporation or as a partnership. However, BEYOND GENERATIONS DIGITAL MARKETING SERVICES has been issued a Certificate of Business Name Registration on 05 February 2021 by the Department of Trade and Industry with Business Name No. 2619667 under the name of its owner, by IVAN JAO ROBLES . Nonetheless, BEYOND GENERATIONS DIGITAL MARKETING SERVICES is not authorized to solicit investments from the public as it did not secure prior registration and/or license to solicit investments from the Commission as prescribed under Sections 8 and 28 of the SRC. Further, BEYOND GENERATIONS DIGITAL MARKETING SERVICES is also NOT REGISTERED either as a crowdfunding intermediary or a funding portal under SEC Memorandum Circular No. 14, Series of 2019 or the Rules and Regulations Governing Crowdfunding . Hence, those who act as salesmen, brokers, dealers or agents or claim to act as such for BEYOND GENERATIONS DIGITAL MARKETING SERVICES in selling or convincing people to invest in the investment scheme being offered by said entity including solicitations and recruitment through the internet may be prosecuted and held criminally liable under Section 28 of the SRC and penalized with a maximum fine of Five Million pesos (P5,000,000.00) or penalty of Twenty-one (21) years of imprisonment or both pursuant to Section 73 of the SRC. Also, those who invite or recruit others to join or invest in such venture or offer investment contracts or securities to the public may incur criminal liability, or otherwise be sanctioned or penalized accordingly as held by the Supreme Court in the case of Securities and Exchange Commission vs. Oudine Santos (G.R. No. 195542, 19 March 2014) .
