April 12, 2022 ENFORCEMENT AND INVESTOR PROTECTION DEPARTMENT SEC ADVISORY The Securities and Exchange Commission ("Commission") has received information that individuals or group of persons representing ADZ TRAFFIC SOLUTION ("ADZ Traffic") have been soliciting investments from the public. The entity entices the public to invest online or through the internet by paying an amount ranging from Php500.00 to Php20,000.00, according to the chosen package. ADZ Traffic's member-investors may avail either or both of the captcha typing job and video-ads watching. Under captcha typing, a member-investor is required to type 10 captchas per day which would entitle him to earn a daily 1% income of his investment or a monthly income ranging from Php150.00 to Php1,350.00. On the other hand, in video-ads watching, a member-investor is required to watch 5 videos per day which would entitle him to earn a monthly income equivalent to 40% of their investment . Notably, the earnings would continue until the member-investor withdraws from the scheme and only then that he would be entitled to the return of his investment. The above described schemes involved the sale of securities to the public, the Securities Regulation Code (SRC) requires that these securities are duly registered and that the concerned corporation and/or its agents have appropriate registration and/or license to sell such securities to the public pursuant to Section 8 of the SRC. Please be informed that ADZ TRAFFIC SOLUTION is not authorized to solicit investments from the public as it is NOT REGISTERED with the Commission and cannot therefore secure prior registration and/or license to solicit investments from the Commission as prescribed under Section 8 of the Securities Regulation Code. Accordingly, those who invite or recruit other people to join or invest in this venture or offer investment contracts or securities to the public may be held criminally liable under Section 28 of the SRC penalized with a maximum fine of Five Million Pesos (P5,000,000.00) or imprisonment of Twenty One (21) years or both pursuant to Section 73 of the SRC ( SEC vs. Oudine Santos , G.R. No. 195542, 19 March 2014). In view thereof, the public is hereby advised to exercise caution before investing in these kinds of activities and to take the necessary precautions in dealing ADZ TRAFFIC SOLUTION and its representatives and to any entities having the same/similar scheme/s. In view thereof, the public is further advised NOT TO INVEST or TO STOP INVESTING in any investment scheme being offered by aforesaid entities/individuals.
