In the Matter of Suspension of Certificates of Incorporation of 2008 Registered Corporations

May 21, 2015 IN THE MATTER OF SUSPENSION OF CERTIFICATES OF INCORPORATION OF 2008 REGISTERED CORPORATIONS ORDER WHEREAS, the Securities and Exchange Commission (the Commission) seeks to remind concerned corporations to comply with Section 141 of the Corporation Code of the Philippines and the SEC rules and regulations on reportorial requirements, by which they are required to submit annual reports, such as General Information Sheet and the Financial Statements; WHEREAS, the records of the Commission show that corporations are registered in 2008, whose names are enumerated in the attached list marked as Annex "A", failed to submit any of the above mentioned reports for at least five (5) consecutive years, i.e. , for the period 2009 to 2013; WHEREAS, the failure of these corporations to submit the said reports may be construed as non-operation for five (5) consecutive years; WHEREAS, the Commission, by virtue of Section 5 (m) of Republic Act No. 8799, also known as the Securities Regulation Code, and Section 6 (i) of Presidential Decree No. 902-A, as amended, is vested with the authority to suspend, after proper notice and hearing, the primary franchise or Certificate of Incorporation of a corporation upon any of the grounds provided by law including the following: "(4) Continuous inoperation for a period of at least five (5) years; (6) Failure to file required reports in appropriate forms as determined by the Commission within the prescribed period;" WHEREFORE, NOTICE is hereby given that those corporations listed in Annex "A" are directed to appear within thirty (30) days from the date of publication of this Order before the Compliance Monitoring Division, Company Registration and Monitoring Department of the Securities and Exchange Commission, located at the Ground Floor, SEC Bldg., EDSA, Mandaluyong City, or for their convenience, the SEC Extension Offices nearest to their principal office during regular office hours and to show cause why it failed to file the reportorial requirements and their Certificates of Incorporation should not be suspended. After the lapse of the said thirty (30)-day period and the corporations named in the attached list fail to appear and have not updated their reports, as well as, settled the corresponding fine or penalty, their Certificates of Incorporation shall be deemed SUSPENDED until such time as the corporation has complied.
