December 23, 2013 SEC CRMD IN THE MATTER OF REVOCATION OF THE CERTIFICATES OF INCORPORATION OF DELINQUENT 2007-REGISTERED CORPORATIONS ORDER WHEREAS, pursuant to Section 141 of the Corporation Code of the Philippines and the rules and regulations on reportorial requirements of the Securities and Exchange Commission (the Commission) , corporations are required to submit annual reports, such as General Information Sheet and the Financial Statements; WHEREAS, the records of the Commission show that some corporations registered in 2007, whose names are enumerated in the attached list marked as Annex "A", failed to submit any of the above mentioned reports for five (5) consecutive years covering the period from 2008 to 2012; WHEREAS, the failure of these corporations to submit said reports can likewise be construed as non-operation for at least five (5) consecutive years; WHEREAS, the Commission, by virtue of Section 5 (m) of Republic Act No. 8799, also known as the Securities Regulation Code, and Section 6 (i) of Presidential Decree No. 902-A, as amended, is vested with the authority to revoke, after proper notice and hearing, the Certificate of Incorporation of a corporation upon any of the grounds provided by law including the following: "(4) Continuous inoperation for a period of at least five (5) years; and TADaES (6) Failure to file required reports in appropriate forms as determined by the Commission within the prescribed period;" WHEREFORE, NOTICE is hereby given that those corporations listed in Annex "A" hereof are directed to appear during regular office hours within the non-extendible period from December 31, 2013 until December 31, 2015 before the Compliance Monitoring Division, Company Registration and Monitoring Department of the Securities and Exchange Commission located at the Ground Floor, SEC Bldg., EDSA, Mandaluyong City, or, for their convenience, the SEC Extension Office nearest to their principal offices and therein to show cause why their Certificates of Incorporation should not be revoked. CEcaTH After the lapse of the said two (2)-year period and the delinquent corporations named in the attached list fail to appear and to update their reports, as well as, to settle the corresponding penalty, their Certificates of Incorporation shall be deemed REVOKED.
