August 29, 2014 SEC CRMD IN THE MATTER OF NATIONAL HISTORICAL INSTITUTE SAVINGS AND LOAN ASSOCIATION, INC. SEC Registration No. AN092-001936 FOR : Revocation of Certificate of Registration for Violation of the CorporationCode and the SECRules and Regulationson Reportorial Requirements ORDER WHEREAS, the records of this Commission show that NATIONAL HISTORICAL INSTITUTE SAVINGS AND LOAN ASSOCIATION, INC. ("subject corporation") , registered on May 28, 1992 under SEC Registration No. AN092-001936, failed to submit the following reports within the prescribed period as required by the Corporation Code and the rules and regulations on reportorial requirements of this Commission: Requirements Not Filed Filed Late General Information Sheet 2009-2014 Financial Statements 2010-2013 WHEREAS, Section 141 of the Corporation Code requires every corporation to submit its annual reports to the Commission, such as General Information Sheet and the Financial Statements, thus: "Every corporation, domestic or foreign, lawfully doing business in the Philippines shall submit to the Securities and Exchange Commission an annual report of its operations, together with a financial statement of its assets and liabilities, certified by any independent certified public accountant in appropriate cases, covering the preceding fiscal year and such other requirements as the Securities and Exchange Commission may require. Such report shall be submitted within such period as may be prescribed by the Securities and Exchange Commission." WHEREAS, the Commission, through its Enforcement and Investor Protection Department, received a letter from Deputy Gov. Nestor A. Espenilla, Jr. of the Bangko Sentral ng Pilipinas (BSP), informing that BSP Monetary Board has approved the petition of subject corporation for its voluntary dissolution and cancellation of its authority to operate as a savings and loan association since October 2009; WHEREAS, acting on the matter, the Enforcement and Investor Protection Department (EIPD) of this Commission ordered the officers of subject corporation to file with the Commission the necessary petition for voluntary dissolution; WHEREAS, the officers of subject corporation, based on the report of the EIPD, attested that they could no longer comply with the requirements of voluntary dissolution since it has proceeded already with the voluntary liquidation of its assets. They instead requested the Commission to proceed on its own with the revocation of its certificate of registration; WHEREAS, Section 5 (m) of Republic Act No. 8799, otherwise known as the Securities Regulation Code, in relation to Section 6 (i) of Presidential Decree No. 902-A, as amended, vests the Commission with the authority to revoke, after proper notice and hearing, the certificate of registration of a corporation based on: cEaSHC (6) Failure to file required reports in appropriate forms as determined by the Commission within the prescribed period. WHEREAS, by virtue of SEC Resolution No. 359, Series of 2010, the Company Registration and Monitoring Department is empowered to revoke the certificate of registration of a corporation which has failed to file any report for at least five (5) consecutive years; WHEREAS, considering the continuous failure of subject corporation to file the General Information Sheet and Financial Statements for at least five (5) consecutive years now (i.e.. 2009-2014 General Information Sheet & 2010-2013 Financial Statements) , the Commission, through Company Registration and Monitoring department, finds sufficient ground to revoke its certificate of registration; WHEREFORE, the certificate of registration of NATIONAL HISTORICAL INSTITUTE SAVINGS AND LOAN ASSOCIATION, INC., issued on May 28, 1992, is hereby REVOKED for violation of Section 141 of the Corporation Code and rules and guidelines on reportorial requirements of this Commission. Accordingly, let a copy of this Order be attached by the Corporate Filing and Records Division (CFRD) of this Department to the records of subject corporation on file with this Commission. Further, the Information and Communications Technology Department (ICTD) of this Commission is likewise requested to enter the "revoked" status of subject corporation in the online database.
