February 17, 2009 SEC CRMD CASE NO. 09-02-0001 IN THE MATTER OF RANAO RADIO BROADCASTING AND TV SYSTEM CORPORATION SEC REGISTRATION NO. A200011247 FOR : Setting Aside the Order of Revocation of the Certificate of Registration O R D E R Petitioner, RANAO RADIO BROADCASTING AND TV SYSTEM CORPORATION is a stock corporation registered with the Commission on August 15, 2000, under SEC Registration No. A200011247, with office address at Pumping St., Marawi City, engaged in the business of establishing and operating radio and television stations, as stated in its Articles of Incorporation. AcaEDC On August 2, 2006, its Certificate of Registration was revoked by the Commission, by virtue of SEC Order dated June 27, 2006, published on July 3, 2006 in the Philippine Star, for non-filing of reports. Petitioner now prays for the setting aside of the Order of Revocation dated June 27, 2006 on the following grounds: 1. that it is actively operating as radio broadcasting station and studio to transmitter link station; 2. that the granting of the Petition would not be prejudicial to any person but instead, beneficial to the people of Lanao, the ARMM and nearby provinces; 3. that it is involved in public services such as radio announcements, public service stations, news reports and other related public information; 4. that its employees are dependent upon Petitioner; 5. that the Board of Trustees actively hold meetings; 6. that it has no intention to violate the law and any SEC rules and regulations; 7. that it shall henceforth submit reportorial requirements religiously; and 8. that it intends to continue its registration with the Commission. In support of its Petition, Petitioner submitted the following documents: 1 1. Trustees' Certificate dated November 19, 2008 certifying that at the annual meeting of the Directors and stockholders held on June 20, 2008, at its principal office address, where a quorum was present, the resolution allowing the filing of the Petition was approved; IDcAHT 2. Photocopies of the 2005, 2006 and 2008 Mayor's Permit, New Autonomous Region in Muslim Mindanao, Islamic City of Marawi; 3. Photocopies of the Temporary Permit issued by the National Telecommunications Commission, Quezon City granting Petitioner authority to operate Studio-to-Transmitter Link Station and Broadcasting Stations; 4. Photocopies of the Certificate of Registration dated September 8, 2008 and a Certification dated August 20, 2008 of Petitioner's assigned Tax Identification Number with the Bureau of Internal Revenue (BIR); 5. Photocopies of 2003, 2004, 2005, 2006, 2007 and 2008 Annual Income Tax Returns; 6. Photocopy of Certification issued by the Provincial Information Office, Province of Lanao del Sur, certifying that Petitioner is airing Broadcast and Public Information Programs of the said Office and that the Local Government is utilizing the station of Petitioner; 7. Photocopy of the Certification dated October 28, 2008 by the Department of Education stating that it aired its Advertisement on September 2008 at Petitioner's broadcasting center and that Petitioner is the leading broadcast system in Marawi City; 8. Photocopy of the Certification dated October 25, 2008 issued by the Philippine Internet-Based Distance Education College, Inc., stating that it is voluntarily and regularly airing its advertisement program in Petitioner's broadcasting center. 9. Photocopy of the Certification dated October 29, 2008 issued Department of Agriculture and Fisheries, Marawi City certifying that it has been regularly airing since 2005 and scheduled its program advertisement in Petitioner's broadcasting center; 10. Photocopy of the Certification dated November 3, 2008 issued by the Provincial Ulama Council, Marawi City stating that it has been regularly airing since 2007 and scheduled its programs in Petitioner's broadcasting center. HCTEDa Petitioner submitted its 2008 General Information Sheet and 2007 Financial Statements to prove its intention to continue its registration with the Commission. On February 3, 2009, Petitioner paid the fine of P69,209.90 under Official Receipt No. 0251964, 2 respectively, for non/late filing/registration of the following, on the years indicated hereunder: NOT FILED FILED LATE General Information Sheet 2001-2007 Financial Statements 2001-2006 2007 Stock and Transfer Book Registered Late WHEREFORE, notwithstanding the failure of the Petitioner to substantiate its allegation that its Board of Trustees is actively holding meeting, we find the submitted documents sufficient to establish Petitioner's operation, and, its intent to continue as a going concern entity. Thus, the Order of the Commission dated June 27, 2006, revoking the Certificate of Registration of RANAO RADIO BROADCASTING AND TV SYSTEM CORPORATION, is hereby SET ASIDE. Further, Petitioner is directed to submit favorable endorsement from the National Telecommunications Commission within thirty (30) days from receipt of this Order.
