August 21, 2008 SEC CRMD CASE NO. 08-07-0001 IN THE MATTER OF SAN RICARDO LEMELIF LEARNING CENTER INC. SEC REGISTRATION NO. A200010334 RE: SETTING ASIDE ORDER OF REVOCATION OF CERTIFICATE OF REGISTRATION O R D E R Petitioner, SAN RICARDO LEMELIF LEARNING CENTER, INC., is a non stock educational institution registered with the Commission on July 04, 2000 under SEC Registration No. A200010334, with principal office address in Talavera, Nueva Ecija. Its purposes as stated in its Articles of Incorporation are to operate an educational institution or learning center which shall provide courses of study in Pre Elementary and Complete Elementary subject to the laws of the Philippines, etc. TAECSD On August 02, 2006, its Certificate of Registration was revoked by the Commission, by virtue of SEC Order dated June 27, 2006, published on July 03, 2006 in the Philippine Star, for non-filing of reports. Petitioner seeks reconsideration of the Order dated June 27, 2006, on the following grounds: 1. that despite non-filing of reports Petitioner is operating from the time of its incorporation; and 2. that if the Order of Revocation is not set aside, the students enrolled with the Petitioner will be affected. In support of its Petition, Petitioner submitted the following documents: 1 1. Trustees' Certificate dated July 03, 2008, certifying that at the regular joint meeting of the members and Board of Trustees, held on March 31, 2008, at its principal office, at which a quorum was present, the Resolution allowing the filing of Petition to Set Aside Order of Revocation was unanimously approved by the members and trustees; ASIDTa 2. Copy of Resolution No. 1 s. 2008 dated March 31, 2008, where the trustees unanimously approved the filing of the Petition to Set Aside the Order of Revocation with the Commission; 3. Photocopy of Government Recognition No. E-163 s. 2003 dated December 29, 2003, signed by the Regional Director, Region III, Department of Education, Culture and Sports, Central Luzon; 4. Photocopy of Government Recognition No. E-108 s. 2003 dated September 04, 2003, signed by the Regional Director, Region III, Department of Education, Culture and Sports, Central Luzon; 5. Photocopy of Data on Elementary Education prepared by the Registrar and signed by the Principal of Petitioner; 6. Copy of Barangay Certification dated July 06, 2008 issued by the Barangay Chairman of San Ricardo, Nueva Ecija, certifying that Petitioner is operating a school in the Barangay since July 4, 2000 up to present; 7. Photocopy of the Income Tax Return for the fiscal year 2007, received by the Land Bank of the Philippines, Cabanatuan; 8. Photocopy of Bureau of Internal Revenue Tax Payment Deposit Slip dated July 3, 2008 paid at Land Bank of the Philippines, Cabanatuan Branch evidencing tax payment of the Petitioner; AaCTcI Petitioner submitted its 2008 General Information Sheet and 2007 Financial Statements to prove its intention to continue its registration with the Commission. The Petitioner also manifested that it has no intention to violate the law and it commits to immediately pay the fines due. On July 08, 2008, the Petitioner paid the fine of PhP21,500.00, the amount assessed by the Law and Regulation Division of the Company Registration and Monitoring Department (CRMD), under Official Receipt No. 0183721, for non/late filing/registration of the following: NOTED DEFICIENCIES YEARS COVERED REQUIREMENTS NOTE FILED FILED LATE General Information Sheet 2001-2007 2008 Financial Statements 2001-2006 2007 Membership Book Registered late WHEREFORE, finding the Petition meritorious, the Order of the Commission dated June 27, 2006, revoking the Certificate of Registration of the SAN RICARDO LEMELIF LEARNING CENTER INC., is hereby SET ASIDE. DHAcET Let a copy of this Order be furnished the Corporate Filing and Records Division of the CRMD for attachment to the corporate records of the Petitioner on file with the Commission. The Economic Research and Information Department is hereby directed to delete the name of the Petitioner from the list of revoked corporations immediately upon receipt of this Order.
