August 19, 2008 SEC CRMD CASE NO. 08-05-0005 IN THE MATTER OF MINISTRY OF CHRIST THE TRUE VINE-CABANATUAN CITY, INC. SEC REGISTRATION NO. A200008372 FOR: SETTING ASIDE THE ORDER OF REVOCATION OF THE CERTIFICATE OF REGISTRATION O R D E R Petitioner, MINISTRY OF CHRIST THE TRUE VINE-CABANATUAN CITY, INC., is a religious corporation, registered with the Commission on 31 July 2000, under SEC Registration No. A200008372, with principal office address in Rizal St., Cabanatuan City. Its purpose, as stated in its Articles of Incorporation, is to administer the affairs, properties and temporalities of the religious corporation. On 02 August 2006, its Certificate of Registration was revoked by the Commission, by virtue of SEC Order dated 27 June 2006, published on 03 July 2006 in the Philippine Star, for non-filing of reports. Petitioner now prays for the setting aside of the Order of Revocation dated 27 June 2006 on the following grounds: 1. that the officers of the Petitioner are not fully aware of the Commission's reportorial requirements; 2. that it has no intention to violate the law and any SEC rules and regulations; and SEHACI 3. that it intends to continue its registration with the Commission. In support of its Petition, Petitioner submitted the following documents: 1. Trustees' Certificate dated 06 March 2007, certifying that at the special meeting of the Board of Trustees and members, held on 28 January 2007 at its office, at which a quorum was present, the resolution allowing the filing of Petition to Set Aside Order of Revocation was approved unanimously by the Board of Trustees and majority of the members; 2. Certification dated 12 April 2007, signed by City Administrator Roy F. Ortiz of Office of the City Mayor of Cabanatuan, certifying that the Petitioner is a legitimate religious institution that has been in operation in the City of Cabanatuan since February 2000 up to the present; 3. Certification dated 11 April 2007, signed by Punong Barangay Charito G. Limos-Gabaon of Barangay Sangitan West, certifying that the Petitioner is in operation since 01 September 2000 up to the present. cCHITA Petitioner submitted its 2007 General Information Sheet and 2007 Financial Statements to prove its intention to continue its registration with the Commission. Petitioner also commits to immediately pay the fines due. On 05 May 2008, Petitioner paid the fine of P33,000.00, 1 under Official Receipt No. 0163689, for non/late filing/registration of the following: NOTED DEFICIENCIES YEARS COVERED REQUIREMENTS NOT FILED FILED LATE General Information Sheet 2001-2005 2006-2007 Financial Statements 2001-2005 Membership Book Registered late WHEREFORE, Petitioner's allegation that it did not know of the reportorial requirements of the Commission is without merit considering that Section 141 of the Corporation Code of the Philippines (the Code) requires corporations to submit an annual report of its operations and such other requirements as the Commission may require. Petitioner is bound by the said provision of the law and it cannot claim lack of knowledge to excuse it from compliance therewith. However, finding the submitted documents sufficient to establish petitioner's intent to continue as a going concern entity, the Order of the Commission dated 27 June 2006, revoking the Certificate of Registration of the MINISTRY OF CHRIST THE TRUE VINE-CABANATUAN CITY, INC., is hereby SET ASIDE. TAaIDH Further, the Petitioner is hereby directed to file its application for the amendment of its Articles of Incorporation (changing its number of trustees from eleven to eight) within thirty (30) days from date of receipt of this Order. The petitioner is warned that non-compliance therewith shall constitute a continuous violation of Section 16 of the Code. Let a copy of this Order be furnished the Corporate Filing and Records Division of the CRMD for attachment to the corporate records of the Petitioner on file with the Commission. The Economic Research and Information Department is hereby directed to delete the name of the Petitioner from the list of revoked corporations immediately upon receipt of this Order. SO ORDERED.
