May 12, 2015 SEC-CGFD ORDER NO. 094-15 IN THE MATTER OF PETITION FOR VOLUNTARY REVOCATION: GE LIGHTING PHILIPPINES, INC. ORDER OF REVOCATION Submitted for consideration of the Commission is the company's Petition for Voluntary Revocation of its Registration of Securities and Certificate of Permit to Sell Securities . The company also requested that it be exempted from filing the reports required by the Securities Regulation Code (SRC). The company cited the following bases for the Petition and its request for exemption from filing the required reports: 1. On 16 August 2004, petitioner ceased the production of lighting products as a result of its change of business strategy and shifted its operations to trading of lighting products; 2. Upon the filing of the petition, forty-two (42) of its shareholders are holding more than one hundred (100) shares or more. On the other hands, one hundred thirty (130) of its shareholders are holding less than one hundred (100) shares. 3. Petitioner no longer intends to conduct a public offering of its shares at any time in the future; 4. On 06 July 2010, Petitioner's Board of Directors resolved to have its Registration of Securities and Certificate of Permit to Sell Securities issued by the Commission revoked. Said resolution was likewise approved by the stockholders representing approximately 86.07% of the outstanding capital stock of petitioner in its stockholders' meeting held on 09 December 2010. Finding the instant Petition to have fully complied with SRC Rule 13, the Commission, in its meeting held on 06 November 2014, resolved to GRANT the company's request for voluntary revocation of its Registration of and Permit to Sell Securities. The company was further granted relief from filing the reports required by the Securities Regulation Code, subject to the following conditions: 1) The Company shall settle the penalties for various violations of the Securities Regulation Code; 2) It shall upload in its website an information regarding the revocation of GE LIGHTING PHILIPPINES, INC.'s Registration of and Permit to Offer Securities for Sale to the Public and how the shareholders can collect their dividends within ten (10) days from the receipt of notice from the Commission of the Order granting said revocation; 3) Submit a Certification under oath that the said notice is uploaded in its website and indicating its web address within ten (10) days from the time the notice is uploaded; and caITAC 4) Comply with the reporting requirements of the Commission under the Corporation Code.
