July 22, 2020 CORPORATE GOVERNANCE AND FINANCE DEPARTMENT TO : Publicly-Listed Companies SUBJECT : Further Extension of the Deadline for the Submission of the Integrated Annual Corporate Governance Report (I-ACGR) NOTICE To facilitate the disclosure of publicly-listed companies' (PLCs) compliance with the recommendations provided under the Code of Corporate Governance for PLCs and to harmonize the corporate governance requirements of the Securities and Exchange Commission and the Philippine Stock Exchange (PSE), the Commission required PLCs to submit an I-ACGR every May 30 for each year that the company remains listed in the PSE, pursuant to SEC Memorandum Circular No. 15, Series of 2017. However, in recognition of the impact of the 2019 Corona Virus Disease (COVID-19) pandemic on the regular operations of corporations and to ease the regulatory burden on the business sector during these trying times, the Commission previously extended the deadline for the filing of the I-ACGR until 30 July 2020 , through an SEC Notice dated 22 April 2020. In its en banc meeting held on 21 July 2020, the Commission resolved to further extend the deadline for the submission of the I-ACGR to 01 September 2020 . The extension shall automatically be applied without the need for covered PLCs to submit a request to the Commission. PLCs, however, are not precluded from submitting their I-ACGRs on or before the previously set deadline, i.e. , 30 July 2020. Please be guided accordingly.
