April 22, 2019 CORPORATE GOVERNANCE AND FINANCE DEPARTMENT IN THE MATTER OF PHILAM DOLLAR BOND FUND, INC., registrant . AMENDED REGISTRATION STATEMENT NOTICE Notice is hereby given that on December 18, 2018 an Amended Registration Statement was filed with the Securities and Exchange Commission on behalf of Philam Dollar Bond Fund, Inc. ("PDBF") to reflect the following changes in its registration statement as follows: Subject Original Provision Proposed Amendments Investment Objectives The investment objective of the Fund is capital preservation with returns and inflows derived out of investments in fixed income instruments. To achieve capital preservation with returns and inflows derived out of investments in fixed income and money market instruments. Portfolio Mix The Fund's portfolio shall be invested in dollar-denominated fixed income instruments including but not limited to government securities, Bangko Sentral ng Pilipinas (BSP) Certificate of Indebtedness, other government securities or bonds and such other evidences of obligations issued by the Bangko Sentral ng Pilipinas or guaranteed by the Philippine Government issued locally and abroad. The Fund shall also invest not more than 20% of its net assets in debt instruments issued by foreign governments and corporations that are pre-approved by the board of directors of the Fund Management Company. This is a US Dollar-denominated Bond Fund that predominantly invests in fixed income and money market securities of Philippine issuers. Benchmark, Investment Horizon and Risk Class None Investment Horizon: Medium Risk Class: Conservative Benchmark: 90.0% JP Morgan Asia Credit Index Philippines Total Return + 10.0% Philippines Dollar Depo Rate 60 Days (Net of 7.5% WHT). Offering Price The company's shares shall be sold at NAVPS for the banking day, if payment is made within the daily cut-off time; otherwise, the NAVPS on the following banking day will be used if payment is made after the daily cut-off time plus an entry fee or sales load depending on the investment amount. The daily cut-off time will be 12:00 noon of a banking day. A banking day is defined as a day when commercial banks in Metro Manila are not required or authorized to close by law. The offering price of one share is its NAVPS plus an entry fee or sales load together with any applicable taxes. The offering price is determined at NAVPS for the banking day if payment is received by PAMI within the daily cut-off time. The NAVPS on the following banking day will be used for transactions received by PAMI after the daily cut-off time plus a current entry fee or sales load together with any applicable taxes depending on the investment amount. The daily cut-off time shall be 12:00 noon of a banking day. A banking day is defined as a day when commercial banks in Metro Manila are required to be open for business. The prospectus was amended to align with all other PAMI managed Funds prospectus. Other information were included to comply with the disclosure requirements of the amended ICA-IRR. Said Amended Registration Statement and other papers/documents attached thereto are open to inspection by interested parties during business hours and copies thereof, photostatic or otherwise, shall be furnished to any party upon request at such fees as the Commission may prescribe.
