VOLUNTARY REVOCATION OF REGISTRATION OF SECURITIES AND CERTIFICATE OF PERMIT TO SELL SECURITIES TO THE PUBLIC NOTICE Notice is hereby given that on 23 December 2014, a verified Petition for Voluntary Revocation of Registration of Securities and Permit to Sell Securities to the Public was filed with the Commission by FOG HORN, INC., stating among others, the following: ATICcS 1. Petitioner is a corporation duly organized and existing under and by virtue of the laws of the Republic of the Philippines with principal office address at 3rd Floor, PGMC Building, Calbayog corner Libertad Streets, Mandaluyong City. 2. On 16 November 2007, petitioner was granted a Certificate of Permit to Offer Securities for Sale covering 3,213 Non Propriety Timeshares of Azalea Baguio Residences. Subsequently, this Honorable Office issued an Order dated 31 May 2011 rendering effective its Amended Registration Statement. 3. The Registered Securities were never listed in the Philippine Stock Exchange, as per Certification dated 13 November 2014 of the PSE. 4. Petitioner has not been marketing its Registered Securities since 01 August 2014. 5. Petitioner has no intention of conducting public offering of the Registered Securities at any time in the future. 6. No timeshares holder of petitioner or any third party will be unduly prejudiced by the revocation of petitioner's Registration of Securities and Certificate of Permit to Offer Securities for Sale. Such revocation will have no effect on the rights and privileges of petitioner's existing timeshare holders to access, use, and enjoy any and all amenities and facilities of Azalea Baguio Residences. The said Petition and other papers/documents attached thereto are open to inspection by interested parties during business hours, and copies thereof, photostatic or otherwise, shall be furnished to any interested party at such reasonable fees as the Commission may prescribe.
