April 4, 2019 CORPORATE GOVERNANCE AND FINANCE DEPARTMENT IN THE MATTER OF PAMI HORIZON FUND, INC., registrant . AMENDED REGISTRATION STATEMENT NOTICE Notice is hereby given that on December 18, 2018 an Amended Registration Statement was filed with the Securities and Exchange Commission on behalf of PAMI Horizon Fund, Inc. ("PHFI") to reflect the following changes in its registration statement as follows: Subject Original Provision Proposed Amendments Investment Objectives The objectives of the Fund: (1) the preservation of capital; (2) long-term capital appreciation through investments in equity securities; and (3) steady stream of income payments through investments in a broadly diversified portfolio of fixed income securities. To achieve capital growth and generate steady income. Portfolio Mix PHFI will invest in a combination of stocks with big and medium capitalization that can provide good value and capital appreciation over the medium term. Management, earnings potential, strong balance sheet and attractive valuations will be the primary criteria for stock selection. Changes in the macro-economic conditions can dictate the equities that the Fund will invest in. Temporary shifts to cash or fixed-income instruments may be done as a defensive move. The Fund's fixed income portfolio shall be invested in fixed-income instruments including but not limited to medium to long-term government securities (notes, bonds and other certificates of indebtedness issued by the Philippine Government both locally and abroad), short-term government securities, bonds or other evidences of indebtedness issued by the Philippine Government or any of its instrumentalities. Likewise, the Fund's fixed income portfolio shall be invested in SEC registered corporate debt papers subject to at least PRS2 rating by the Philippine Rating System, savings or time deposits and other deposit substitutes, preferred shares and convertibles, the issuers of whom had been pre-approved by the Board of Directors of the Fund Management Company and transacted with commercial banks and financial institutions pre-approved by the Board of Directors of the Fund Management Company. This is a Peso-denominated balanced Fund that invests in equities listed in the Philippine Stock Exchange and domestic fixed-income instruments. Benchmark, Investment Horizon and Risk Class None Investment Horizon: Medium to long; Risk Class: Moderate Benchmark: 40.0% Bloomberg Philippine Sovereign Bond Index AI + 50.0% Philippine Stock Exchange Index (Total Return) + 10.0% Philippines 30-day Savings Rate (Net of 20.0% WHT) Offering Price The company's shares shall be sold at NAVPS for the banking day, if payment is made within the daily cut-off time; otherwise, the NAVPS on the following banking day will be used if payment is made after the daily cut-off time plus an entry fee or sales load depending on the investment amount. The daily cut-off time will be 12:00 noon of a banking day. A banking day is defined as a day when commercial banks in Metro Manila are not required or authorized to close by law. The offering price of one share is its Net Asset Value Per Share (NAVPS) plus an entry fee or sales load together with any applicable taxes. The offering price is determined at NAVPS for the banking day if payment is received by PAMI within the daily cut-off time. The NAVPS on the following banking day will be used for transactions received by PAMI after the daily cut-off time plus a current entry fee or sales load together with any applicable taxes depending on the investment amount. The daily cut-off time shall be 12:00 noon of a banking day. A banking day is defined as a day when commercial banks in Metro Manila are required to be open for business. The prospectus was amended to align with all other PAMI managed Funds prospectus. Other information were included to comply with the disclosure requirements of the amended ICA-IRR. Said Amended Registration Statement and other papers/documents attached thereto are open to inspection by interested parties during business hours and copies thereof, photostatic or otherwise, shall be furnished to any party upon request at such fees as the Commission may prescribe.
