September 9, 2016 CORPORATE GOVERNANCE AND FINANCE DEPARTMENT NOTICE SUBJECT : Transactions with the Corporate Governance and Finance Department (CGFD) TO : Public Companies, Mutual Fund Companies, Issuers of Proprietary and Non-Proprietary Shares/Membership Certificates, Corporations Covered by Corporate Governance Requirements, Financing Companies, Lending Companies and Foundations Please be informed that the following transactions of the Corporate Governance and Finance Department (CGFD) will be done through our Officers of the Day (ODs) at the 7th Floor of SEC Building . 1. Issuance of clearance/comments for Articles of Incorporation (AOI) and By-Laws and the amendments thereof; 2. Answering queries regarding companies monitored by the CGFD; 3. Pre-evaluation of Registration Statements/Information Statements; 4. Receipt of documents (those required to be filed with the Electronic Records Management Division should still be directly filed with it); and 5. Preparation of Payment Assessment Forms (PAF). Please take note that documents subject to monitoring/review will be transmitted to the assigned processor in our Philippine International Convention Center (PICC) Office.
