November 12, 2010 SEC-CFD ORDER NO. 266-10 IN THE MATTER OF KIDZWORLD THEME PARKS AMUSEMENT AND RECREATIONAL CLUB, INC. ORDER OF REVOCATION The records on file with this Commission show the company's continued failure to: 1) pay the aggregate penalty of Three Million Two Hundred Seventy Four Thousand Five Hundred Pesos (P3,274,500.00) for the late filing of its 2008 Annual Report and failure to amend its Registration Statement prior to the increase in the offering price of its proprietary membership certificates; and 2) file an Amended Registration Statement reflecting the change in the offer price of its membership certificates, in violation of the directives set forth in the Suspension Order dated July 6, 2010. It has also failed to present its books and records of accounts for examination in accordance with the Corporation Finance Department's letter dated October 12, 2010. Pursuant to the resolution of the Commission in its meeting on November 4, 2010, the Company's Registration of Securities and Permit to Sell Securities are hereby REVOKED. Accordingly, the Company is prohibited from selling/offering for sale its securities to the public. This revocation order shall not exempt the Company from complying with its reportorial obligations under the Securities Regulation Code or other pertinent laws. Let a copy of this Order be published in a newspaper of general circulation in the Philippines and/or posted in the Commission's official website for the information and guidance of the public.
