July 6, 2010 SEC-CFD ORDER NO. 170-10 IN THE MATTER OF KIDZWORLD THEME PARKS AMUSEMENT AND RECREATIONAL CLUB, INC. ORDER OF SUSPENSION The records on file with this Commission show the continued failure of the company to pay the following penalties despite due notice and hearing: 1 Violation Penalty Late filing of 2008 Annual Report 2 P191,000.00 Failure to amend its Registration 3,083,500.00 Statement prior to the increase in the offering price of its proprietary membership certificates Total P3,274,500.00 =========== Pursuant to the Resolution of the Commission in its meeting on July 1, 2010, the Company's Registration of Securities and Permit to Sell Securities are hereby SUSPENDED for a period of sixty (60) days from receipt of this Order or until it is able to pay the penalties in full and file a complete and updated Amended Registration Statement in full compliance with the disclosure requirements of Rule 12 of the Securities Regulation Code in order to reflect the change in the offer price of its membership certificates, whichever comes first. The Company is henceforth prohibited from offering or selling its securities to the public until this Order is lifted or set aside by the Commission. DaIACS Failure of the Company to pay the penalties and file its Amended Registration Statement within the above-prescribed 60-day period shall be a ground for the Commission to immediately initiate proceedings for the revocation of its Registration of Securities. CALLANGAN Director Footnotes 1. At the hearing on March 23, 2010, Atty. Bienvenido Amora appeared on behalf of the company and requested for a final resetting of the suspension hearing to April 28, 2010 at 2 p.m. However, in the afternoon of April 28, Atty. Amora requested for another resetting because he was not feeling well. A Notice of Final Hearing dated May 20, 2010 was issued by the Commission copy furnished the company's Directors and Officers, setting the hearing for suspension on June 9, 2010 at 2 pm. In the same Notice the company was warned that no further requests for resetting shall be entertained or accepted. Despite this warning, however, at the scheduled hearing on June 9, the company through its representative appeared unprepared for the hearing and again requested for another resetting alleging that its lawyer, Atty. Amora was not available. 2. The Annual Report for the fiscal year ended December 31, 2008 which was due on April 27 to 30, 2009 (per SEC Memorandum Circular No. 7, Series of 2008) was filed only on October 30, 2009 or 183 days late.
