October 22, 2007 SEC-CFD ORDER NO. 167-07 IN RE: PAMPLONA PLANTATION AND COUNTRY CLUB, INC. VIOLATION OF SECTION 54 OF THE SRC ORDER Before the Commission is the pending request filed on May 23, 2007 by PAMPLONA PLANTATION AND COUNTRY CLUB, INC. for reduction of the penalty amounting to P266,500.00 imposed against it for violation of Section 54 of the Securities Regulation Code (SRC), due to the late filing of its 2005 and 2006 Certificates on the Extent of Compliance with its Manual on Corporate Governance and Certificate of Attendance of Directors to the 2006 board meetings. The Commission, in its meeting of October 4, 2007, resolved to DENY said request. WHEREFORE, PAMPLONA PLANTATION AND COUNTRY CLUB, INC. is hereby directed to pay the total adjusted penalty of P222,500.00 within five (5) days from receipt of this Order in cash, Manager or Cashier's Check. Failure of the company to settle the imposed penalties within the above-stated period shall constrain the Commission to suspend its Registration of Securities and Certificate of Permit to Sell Securities to the Public without need for further notice and hearing.
