December 22, 2005 SEC-CFD ORDER NO. 156-05 IN THE MATTER OF WISE HOLDINGS, INC. ORDER OF SUSPENSION Records of the Commission show that despite due notice and hearing, WISE HOLDINGS, INC. has repeatedly violated the provisions of the Securities Regulation Code (SRC). As of October 27, 2005, the company incurred a total of nine (9) violations, six (6) of which are all infractions of SRC Rule 17.1 (A) (ii), or the late filing of Quarterly Reports. As per SEC Memorandum Circular No. 6, series of 2005 (Consolidated Scale of Fines), " the commission of a fourth offense for the same violation is a ground for the suspension/revocation of the erring company's registration or secondary license . . . " The Commission, therefore, in its meeting held on December 15, 2005, resolved to suspend the effectivity of the company's Registration of Securities and Permit to Sell Securities to the Public. IN VIEW OF THE FOREGOING, and considering the blatant disregard of the company of the provisions of the SRC and its Implementing Rules and Regulations, the registration of securities of WISE HOLDINGS, INC. is hereby SUSPENDED for a period of SIXTY (60) DAYS from receipt hereof, or until the penalties are settled and the required reports submitted, whichever comes first. Failure of the company to settle the penalty and submit the required reports within the sixty-day period shall be sufficient ground for the Commission to order the immediate revocation of its Registration of Securities without need for further notice and hearing.
