REGISTRATION OF SECURITIES ORDER Upon consideration of the Registration Statement and other papers and documents attached thereto which were filed on behalf of AG FINANCE, INCORPORATED, the Commission in its meeting of July 4, 2013 resolved to render effective the same for the registration of Two Hundred Sixty One Million Eight Hundred Twenty Four Thousand Three Hundred Twenty Seven (261,824,327) common shares , consisting of Sixty Eight Million Seventy Four Thousand Three Hundred Twenty Five (68,074,325) common shares which shall be offered by way of an initial public offering at a price of up to Php2.18 per share, and One Hundred Ninety Three Million Seven Hundred Fifty Thousand Two (193,750,002) outstanding common shares with a par value of Php1.00 per share, in accordance with Section 12 of the Securities Regulation Code and its Amended Implementing Rules and Regulations.
