December 3, 2008 SEC-CFD ORDER NO. 145-08 IN RE: PHILCOMSAT HOLDINGS CORPORATION VIOLATION OF SRC RULES 17.1 (1) (A) (i) & (ii) ORDER Before the Commission is the continuing failure of Philcomsat Holdings Corporation to file its 2006 and 2007 Annual Reports (SEC Form 17-A) as well as its 1st, 2nd and 3rd Quarterly Reports for 2007, in violation of SRC Rules 17.1 (1) (A) (i) and (ii). IHCSTE Despite repeated directives to submit the said reports and the conduct of proceedings for the suspension of the company's registration of securities, the company still failed to file said reports. Pursuant to the resolution of the Commission in its meeting on August 21, 2008, the company's Registration of Securities is hereby SUSPENDED for a period of sixty (60) days from the date of receipt of this Order, or until the company is able to submit the following reports and fully pay the corresponding penalties which shall be computed up to the date of actual submission: a. 2006 Annual Report (SEC Form 17-A) b. 2007 1st Qtr. Report (SEC Form 17-Q) c. 2007 2nd Qtr. Report (SEC Form 17-Q) d. 2007 3rd Qtr. Report (SEC Form 17-Q) e. 2007 Annual Report (SEC Form 17-A) Should the company fail to submit its 2006 and 2007 Annual Reports (SEC Form 17-A), as well as its 1st, 2nd and 3rd Quarter Reports for 2007 (SEC Form 17-Q), the Corporation Finance Department shall immediately initiate proceedings for the revocation of its Registration of Securities.
