August 28, 2007 SEC-CFD ORDER NO. 143-07 IN THE MATTER OF THE A BROWN COMPANY, INC. VIOLATION OF SRC RULE 10.1 (K) ORDER A BROWN COMPANY, INC., having violated Rule 10.1 (K) of the Securities Regulation Code for the late filing of its Notice of Exempt Transaction (SEC Form 10-I) relative to the acquisition by Bayfield Investments, Ltd. of 300,000,000 unissued common shares through a private placement, was penalized and required to pay a total penalty of Fourteen Thousand Three Hundred Pesos (P14,300.00). The same was paid to this Commission on August 28, 2007 under Official Receipt No. 5481585. The company is warned that, henceforth, it shall endeavor to take such measures as will ensure full compliance with the requirements of the said Rule, otherwise, the Commission shall be constrained to impose heavier penalties corresponding to such subsequent repetition of the same violation in accordance with SEC Memorandum Circular No. 6, Series of 2005 (Consolidated Scale of Fines).
