April 28, 2010 SEC-CFD ORDER NO. 138-10 IN THE MATTER OF INFINITE INVESTMENTS AND FINANCE CORPORATION ("COMPANY" FOR SHORT) FOR: REVOCATION OF THE CERTIFICATE OF AUTHORITY (CA) TO OPERATE AS A FINANCING COMPANY ORDER Records on file with this Commission show that: 1. The company failed to file/comply with the following: a Quarterly Reports (2003 3rd and 4th quarters and for all quarters in 2004 to 2007); b. 2004 to 2006 Audited Financial Statements; c. 2004 to 2007 General Information Sheets; d. Corporate Governance Self-Rating Form (CG-SRF); e. AML Compliance Form (AMLA-CF); f. Revised Anti-Money Laundering Manual; g. Certification of the Corporate Secretary on the attendance of the members of the Board to the 2005 to 2007 Board meetings; and h. Certification of the Compliance Officer on the extent of the company's compliance with its Manual on Corporate Governance for 2005 to 2007; and to pay its 2004 to 2007 annual fees and the maximum penalty of PhP100,000.00; 2. On 21 July 2006 and 28 May 2007, a CFD examiner visited the company's last known address to verify if the said company was still operating. The Building Business Manager, as well as the building security guard of at least five (5) years attested, in writing, that the company no longer held office at Ramon Magsaysay Center, Roxas Blvd., Manila; CAaSED 3. On 04 April 2008, the company, through Dirs. Wu Zhi Yong a.k.a. Jeric Go and Min Min See Koo, received the Suspension Order dated 25 March 2008. To date, no compliance has been made; 4. On 10 and 12 September 2008, notices of hearing were sent to the company's principal office address and to the addresses of Dir. Wu Zhi Yong a.k.a. Jeric Go and Min Min See Koo. A certain J. Nepomuceno and Ms. Susan Tan, whose positions were never disclosed in the return slip, received the notices of hearing scheduled on 15 September 2008 for the revocation of the CA of the subject-corporation; 5. No representative of the company appeared at the scheduled hearing for revocation despite receipt of notices sent to all directors and officers in their respective home addresses. Pursuant to the resolution of the Commission in its meeting on 25 March 2010, the company's Certificate of Authority to Operate as a Financing Company is hereby REVOKED. Let a copy of this Order be sent to the principal address of the company, Manila City Hall, and posted in the Commission's official website for the information and guidance of the public. SO ORDERED.
