July 2, 2013 SEC-CFD * ORDER NO. 132-13 IN THE MATTER OF PETITION FOR VOLUNTARY REVOCATION HOLCIM PHILIPPINES MANUFACTURING CORPORATION ORDER OF REVOCATION Submitted for consideration of the Commission is the company's Petition for the Voluntary Revocation of its Registration and Permit to Sell Securities to the Public dated January 2, 1992 and August 18, 1995. Relative to its Petition, the company further requested that it be exempted from the requirement of filing periodic reports (Annual Report, Quarterly Report, Current Report, etc.) including the submission of the Manual on Corporate Governance. The company requested that its Certificate be revoked in view of the delisting of its shares with the PSE and it has only 8 shareholders owning more than 100 shares. In support of the Petition, the company submitted the following: 1) List of stockholders indicating their respective shareholdings as of February 28, 2013; HCATEa 2) Board Resolution, dated April 29, 2013, approving the revocation, certified under oath by the Assistant Corporate Secretary and attested to by the President; 3) Proof of publication of the Notice of Filing of Petition for Voluntary Revocation in the Manila Times in its May 30, 2013 issue; 4) Proof of payment of Five Thousand Fifty Pesos (Php5,050.00) as filing fee for the Petition for Revocation. Finding the instant Petition to have fully complied with SRC Rule 13, the Commission, in its meeting held on June 27, 2013, resolved to GRANT the company's request for voluntary revocation of its Registration and Permit to Sell Securities to the Public. The company was further granted relief from submission of the Manual of Corporate Governance and other reportorial requirements under the SRC, unless it qualifies again as a public company.
