August 3, 2009 SEC-CFD ORDER NO. 117-09 IN THE MATTER OF FANTASY WORLD THEME PARKS AMUSEMENT & RECREATION CLUB, INC. ORDER OF SUSPENSION Records on file with this Commission show the continuing failure of FANTASY WORLD THEME PARKS AMUSEMENT & RECREATION CLUB, INC. to comply with the disclosure requirements of SEC Form 12-1 in relation to Annex "C" of SRC Rule 12 and SRC Rule 68, as amended, with regard to its Amended Registration Statement which was filed with the Commission on June 25, 2009, 1 despite considerable lapse of time and several extensions given. The Commission, therefore, in its meeting held on July 30, 2009, resolved to reject the said Amended Registration Statement pursuant to Section 13 of the Securities Regulation Code and to suspend the Company's Registration Statement and Permit to Sell Securities to the Public. In view of the foregoing, the Amended Registration Statement submitted on June 25, 2009 is hereby REJECTED and the Registration of Securities and Permit to Sell Securities to the Public issued in favor of FANTASY WORLD THEME PARKS AMUSEMENT & RECREATION CLUB, INC. is SUSPENDED for a period of sixty (60) days, or until it is able to submit its complete and updated Amended Registration Statement together with the required exhibits in compliance with the Department's December 4, 2008 comment letter. Failure of the company to comply with the foregoing Order within the sixty-day period shall constrain the Commission to immediately initiate proceedings for the revocation of the company's registration of securities, in accordance with Section 13.1 of the SRC.
