May 30, 2011 SEC-CFD ORDER NO. 115-11 IN THE MATTER OF PHILAND PROPERTIES, INC. ORDER OF SUSPENSION The records on file with this Commission show the company's failure to submit its Amended Registration Statement/Prospectus reflecting its updated work program and project timetable in view of its delayed development works. As such, the Prospectus appears to contain false/misleading representation of material facts concerning the company as issuer and its securities which constitutes a ground for the suspension of the company's Registration of and Permit to Sell Securities to the Public in accordance with Sections 14 and 15 of the Securities Regulation Code. Pursuant to the resolution of the Commission in its meeting on May 26, 2011, the Company's Registration of Securities and Permit to Sell Securities are hereby SUSPENDED effective upon receipt of this Order for a period of 60 days or until it is able to submit a complete and updated Amended Registration Statement in full compliance with the SRC and its Implementing Rules. Accordingly, the Company is prohibited from selling/offering for sale its securities to the public until this Order is lifted or set aside by the Commission. Failure of the Company to comply with this Order within the above-prescribed 60-day period shall be a ground for the Commission to immediately initiate proceedings for the revocation of its Registration of and Permit to Sell Securities.
