June 28, 2007 SEC-CFD ORDER NO. 115-07 IN THE MATTER OF THE BOULEVARD HOLDINGS, INC. VIOLATION OF SRC RULE 54.1 (C) OF THE SECURITIES REGULATION C OD E AND SEC MEMORANDUM CIR CUL AR NO. 2, SERIES OF 2001 ORDER BOULEVARD HOLDINGS, INC., having violated Rule 54.1 (c) of the Securities Regulation Code and SEC Memorandum Circular No. 2, Series of 2001 for making a false statement in its Current Report (SEC Form 17-C) regarding the election of Mr. Christopher M. Gotangco as one of the company's independent directors and its late filing of the 2004 and 2006 General Information Sheet (GIS), was penalized and required to pay a total penalty of ONE HUNDRED FORTY TWO THOUSAND PESOS (P142,000.00). The same was paid to this Commission on June 28, 2007 under Official Receipt No. 0071519. The company is warned that, henceforth, it shall endeavor to take such measures as will ensure full compliance with the requirements of the said Rule, otherwise, the Commission shall be constrained to impose heavier penalties corresponding to such subsequent repetition of the same violation in accordance with SEC Memorandum Circular No. 6, Series of 2005 (Consolidated Scale of Fines).
