June 26, 2007 SEC-CFD ORDER NO. 113-07 IN THE MATTER OF P-H-O-E-N-I-X PETROLEUM PHILIPPINES, INC., registrant. REGISTRATION OF SECURITIES ORDER Upon consideration of the Registration Statement and other papers and documents attached thereto which were filed for and on behalf of P-H-O-E-N-I-X PETROLEUM PHILIPPINES, INC., the Commission resolved in its meeting of May 31, 2007, to render effective the same for the registration of One Hundred Forty Five Million (145,000,000) common shares, of which Thirty Six Million Two Hundred Fifty Thousand (36,250,000) common shares will be sold in an Initial Public Offering (IPO), consisting of Twenty Nine Million (29,000,000) common shares to be sold on a Primary Basis, and Seven Million Two Hundred Fifty Thousand (7,250,000) common shares to be sold on a Secondary Basis, at an offer price of P9.80 each, pursuant to Section 12 of the Securities Regulation Code and its Implementing Rules and Regulations. Let a Certificate of Permit to Offer Securities for Sale be issued in favor of the subject company authorizing the sale and distribution of the aforementioned securities. Let this Order be published at the expense of the corporation once in a newspaper of general circulation in the Philippines within ten (10) days from date hereof.
