September 29, 2008 SEC-CFD ORDER NO. 108-08 ORDER ON PAYMENT OF PENALTY The records on file with this Commission show that EASTRIDGE GOLF CLUB, INC. failed to file SEC Form 17-C for the postponement of its 2006 and 2007 Annual Stockholders' Meetings within the prescribed period, in violation of SRC Rule 17.1 (1) (a) (iii) and failed to conduct said meetings, in violation of Section 50 of the Corporation Code of the Philippines. As a result, the company was ordered to pay a fine of Ninety Five Thousand Eight Hundred Pesos (P95,800.00) which it paid on September 25, 2008 as shown by Official Receipt No. 0213547 dated September 25, 2008. The company is admonished to take all appropriate measures to ensure its faithful and timely compliance with SRC Rule 17.1 (1) (A) (iii) and Section 50 of the Corporation Code of the Philippines. Any further violation shall subject the company and/or its responsible officers to heavier penalties as may be provided for by law. SO ORDERED.
