May 3, 2011 SEC-CFD ORDER NO. 100-11 IN THE MATTER OF AGP INDUSTRIAL CORPORATION ORDER Records of the Commission show that on June 9, 2003, CFD issued an Order revoking AGP Industrial Corporation's ("AGPI") Registration of Securities and Permit to Sell Securities in accordance with Section 13.1 of the SRC for failure to submit its 2001 Annual Report and 2002 1st Quarter Report after due notice and hearing. On February 15, 2011, AGPI filed a Supplemental Petition requesting the Commission to Lift the Order of Revocation in view of its compliance with the reportorial obligations and after the company has submitted a Business Plan to be carried out with its new investors, led by Sunplaza Development Corporation. In the Commission Meeting held on March 11, 2011, CFD recommended that the instant request for lifting of the Order of Revocation of the Registration and Permit to Sell of AGPI be granted, in view of the company's compliance with its reportorial requirements and upon showing proof that a new investor has already infused fresh capital to the company. The said recommendation, however, was subject to the condition that the company pay the penalties amounting to Two Million Five Hundred Forty-Seven Thousand Eight Hundred Pesos (P2,547,800.00) for subsequent violations committed from 2005-2010. The Commission deferred action on the matter and further instructed the Department to first direct the company to pay in full the P2,547,800.00 assessed penalties. On March 15, 2011, AGPI paid the assessed penalties per Official Receipt No. 0544182. The Commission, in its meeting on March 17, 2011, resolved to GRANT the request of AGP INDUSTRIAL CORPORATION for the lifting of the Order of Revocation of the company's Registration and Permit to Sell Securities to the Public issued by the Commission on June 9, 2003 in view of its compliance with the reportorial obligations and payment of the assessed penalties.
