June 8, 2009 SEC-CFD ORDER NO. 089-09 IN THE MATTER OF SM INVESTMENTS CORPORATION , registrant . REGISTRATION OF SECURITIES ORDER Upon consideration of the Registration Statement and other papers and documents attached thereto, which were filed for and on behalf of SM INVESTMENTS CORPORATION, the Commission resolved in its meeting of May 28, 2009, to render effective the same for the registration of an aggregate principal amount of Five Billion Pesos (P5,000,000,000.00) worth of Fixed Rate Bonds, comprised of 5-year or Series A Bonds due on 2014 and 7-year or Series B Bonds due on 2016, with an over-subscription option of Five Billion Pesos (P5,000,000,000.00) or a total of up to Ten Billion Pesos (P10,000,000,000.00) worth of Fixed Rate Bonds , pursuant to Section 12 of the Securities Regulation Code and its Implementing Rules and Regulations. Let a Certificate of Permit to Offer Securities for Sale be issued in favor of the subject company authorizing the sale and distribution of the aforementioned securities. SO ORDERED.
