May 25, 2009 SEC-CFD ORDER NO. 081-09 IN RE: NEXSTAGE, INC. ORDER OF SUSPENSION The records on file with this Commission show that NEXTSTAGE, INC. has violated SRC Rules 17.1 (1) (A) (i) and (ii) as well as SRC Rule 20 of the Implementing Rules and Regulations of the Securities Regulation Code for its failure to file its 2007 Annual Report (SEC Form 17-A), 1st, 2nd and 3rd Quarter Reports for 2008 (SEC Form 17-Q) and 2008 Information Statement (SEC Form 20-IS). In spite of notice and demand, the company failed to submit said reports in accordance with the requirements of said Rules. Pursuant to the resolution of the Commission in its meeting on May 20, 2009, the company's Registration of Securities and Permit to Sell Securities are hereby SUSPENDED for a period of sixty (60) days from the date of receipt of this Order, or until the company is able to submit the following reports and fully pay the corresponding updated penalties which shall be computed up to the date of actual submission: a. 2007 Annual Report (SEC Form 17-A b. 2008 1st Qtr Report (SEC Form 17-Q) c. 2008 2nd Qtr Report (SEC Form 17-Q) d. 2008 3rd Qtr Report (SEC Form 17-Q) e. 2008 SEC Form 20-IS/SEC Form 17-C Should the company fail to submit its 2007 Annual Report (SEC Form 17-A), 1st, 2nd and 3rd Quarter Reports for 2008 (SEC Form 17-Q) and 2008 SEC Form 20-IS and pay the corresponding penalty which shall be computed from the date of actual submission thereof, the Commission shall immediately initiate proceedings for the revocation of its Registration of Securities.
