April 30, 2009 SEC-CFD ORDER NO. 061-09 IN THE MATTER OF LEGACY TD FUND, INC. ORDER OF REVOCATION The records on file with this Commission show the company's failure to comply with the following directives contained in the Suspension Order dated March 20, 2009: DECSIT 1. Publish its daily Net Asset Value Per Share (NAVPS) from 08 December 2008 and pay the total assessed penalty of Eighty Four Thousand Eight Hundred Pesos (P84,800.00); 1 2. Submit its monthly sales and redemption report for the months of November and December 2008, January and February 2009, and pay the total assessed penalty of Fifty Three Thousand Two Hundred Pesos (P53,200.00); 2 3. Submit its General Information Sheet for the years 2006 to 2008; and 4. Submit a Current Report on Form 17-C regarding the change in its office address. Pursuant to the resolution of the Commission in its meeting of 24 April 2009, the company's secondary license as an investment company as well as its Registration of Securities and Certificate of Permit to Sell Securities are hereby REVOKED. Accordingly, the company is prohibited from selling/offering for sale its securities to the public. This revocation order shall not exempt the company from complying with its reportorial obligations under the Securities Regulation Code or other pertinent laws. Let a copy of this Order be published in a newspaper of general circulation in the Philippines and in the official website of the Commission for the information and guidance of the public. cCDAHE SO ORDERED.
