April 7, 2006 SEC-CFD ORDER NO. 048-06 IN THE MATTER OF MEGAWORLD CORPORATION REGISTRATION OF SECURITIES ORDER Upon consideration of the Registration Statement and other papers and documents attached thereto which were filed for and on behalf of Megaworld Corporation, the Commission resolved to render effective the same for the registration of the following shares pursuant to Section 12 of the Securities Regulation Code and its Implementing Rules. Primary Shares 3,500,000,000 Secondary Shares 423,166,000 Over-allotment 588,475,000 4,511,641,000 =========== Offer Price per Share P1.38 Out of the said shares, 3,727,008,000 and 196,158,000 shares are allocated for International and Domestic Offers, respectively. Let a Certificate of Permit to Offer Securities for Sale be issued in favor of MEGAWORLD CORPORATION authorizing the sale of the aforementioned securities. Let this Order be published at the expense of the corporation once in a newspaper of general circulation in the Philippines within ten (10) days from date hereof.
