March 17, 2008 SEC-CFD ORDER NO. 028-08 IN RE: CELEBRITY SPORTS PLAZA, INC. ORDER OF SUSPENSION The records on file with this Commission show that Celebrity Sports Plaza, Inc. has continuously failed to submit the reports required under SRC Rules 17 and 20 and to settle the aggregate penalty of P3,264,000.00. 1 In spite of notice and final demand on June 15, 2007, the company failed to submit its Annual Reports (SEC Form 17-A) for 2003 and 2004 (with their respective AFS); Quarterly Reports (SEC Form 17-Q) for the 1st, 2nd and 3rd quarters of 2004 and 2005; Current Reports (SEC Form 17-C) relative to the non-holding of annual stockholders' meeting in 2004 and 2005; and to settle in full the total assessed penalty. In its letter dated September 14, 2007, the company requested waiver of the P3,264,000.00 penalty or that it be allowed to pay only P1,000,000.00, payable in fifteen (15) months according to the following schedule: P100,000.00 a month for the first three (3) months; and P58,333.33 a month for the succeeding 12 months. aSITDC Pursuant to the resolution of the Commission in its meeting on March 13, 2008, the Company's request for waiver/reduction of the penalty imposed is hereby DENIED and its Registration of Securities and Permit to Sell Securities are hereby SUSPENDED for a period of sixty (60) days from the date of receipt of this Order, or until the company is able to submit the required reports and to settle in full the total assessed penalty of P3,264,000.00. If the company fails to submit the required reports and pay the assessed penalty within the said period, the Commission shall immediately initiate proceedings for the revocation of its Registration of Securities and Permit to Sell Securities.
