January 30, 2006 SEC-CFD ORDER NO. 009-06 IN THE MATTER OF FIRST GEN CORPORATION , registrant. REGISTRATION OF SECURITIES ORDER Upon consideration of the Registration Statement and other papers and documents attached thereto which were filed for and on behalf of First Gen Corporation, the Commission resolved to render effective the same for the registration of the following shares, which shall be sold through an Initial Public Offering ("IPO"), pursuant to Section 12 of the Securities Regulation Code and its Implementing Rules. Primary Shares 180,910,900 Over-allotment Shares 27,136,600 208,047,500 ========== Offer Price per Share P47.00 Let a Certificate of Permit to Offer Securities for Sale be issued in favor of First Gen Corporation authorizing the sale of the aforementioned securities. Let this Order be published at the expense of the corporation once in a newspaper of general circulation in the Philippines within ten (10) days from date hereof.
