January 21, 2008 SEC-CFD ORDER NO. 007-08 IN THE MATTER OF THE MRC ALLIED INDUSTRIES, INC. VIOLATION OF SRC RULES O R D E R MRC ALLIED INDUSTRIES, INC. having violated Rules 17.1 (1) (A) (i), 17.1 (A) (ii) and Section 54 of the Securities Regulation Code (SRC) for late filing of the following: a) 2005 Annual Report (SEC Form 17-A); b) 2006 1st Quarter Report (SEC Form 17-Q); c) Violation of the Order of the Commission dated May 17, 2006; and d) Late filing of 2006 Certification on the Attendance of the Directors to the Board Meetings. was required to pay a total penalty of TWO HUNDRED FIFTY EIGHT THOUSAND SIX HUNDRED PESOS (P258,600.00). The company paid the last installment of the said penalty on January 21, 2008 under O.R. No. 0131671. The company is warned that, henceforth it must endeavor to take such measures as will ensure full compliance with the requirements of the SRC and its Implementing Rules and Regulations, otherwise, the Commission shall be constrained to impose heavier penalties upon the corporation and/or its responsible officer/s.
