November 9, 2007 CORPORATION FINANCE DEPARTMENT IN THE MATTER OF eTELECARE GLOBAL SOLUTIONS INC. REGISTRATION OF SECURITIES UNDER SECTIONS 8 AND 12 OF THE SECURITIES REGULATION CODE ORDER Upon consideration of the Registration Statement and other papers and documents attached thereto which were filed on behalf of eTELECARE GLOBAL SOLUTIONS, INC., the Commission, in its meeting of September 6, 2007, resolved to render effective the said Registration Statement covering Eighty Two Million Nine Hundred Ninety Six Thousand One Hundred Twenty Eight (82,996,128) common shares. However, in view of the approval by the Company Registration and Monitoring Department of this Commission of the increase in the par value of the common shares of the company from One Peso (P1) to Two Pesos (P2) per share on September 3, 2007, the Commission in its meeting held on November 8, 2007 approved the changes made in the Registration Statement of the company reducing the number of shares to be registered to Forty One Million Four Hundred Ninety Eight Thousand Sixty Four (41,498,064) common shares. A Certificate of Permit to Sell Securities in favor of eTelecare Global Solutions, Inc. authorizing the sale of Forty One Million Four Hundred Ninety Eight Thousand Sixty Four (41,498,064) common shares is hereby issued with this Order. Let a copy of this Order be published at the expense of the corporation once in a newspaper of general circulation in the Philippines within ten (10) days from date hereof.
