March 9, 2007 IN THE MATTER OF THE EEI CORPORATION, issuer REGISTRATION OF SECURITIES ORDER Upon consideration of the Registration Statement and other papers and documents attached thereto filed for and on behalf of EEI CORPORATION, the Commission, in its meeting of March 6, 2007, resolved to render effective the Registration Statement of said company for the registration of its 120,000,000 common shares with a par value of One Peso (P1.00) which shall be sold by way of pre-emptive rights offer. Let a Certificate of Permit to Sell Securities be issued in favor of EEI CORPORATION authorizing the sale of the above securities. DcAaSI Let a copy of this ORDER be published at the expense of the corporation once in a newspaper of general circulation in the Philippines within ten (10) days from date hereof.
