2007 CORPORATION FINANCE DEPARTMENT IN THE MATTER OF THE CEBU AIR, INC., registrant REGISTRATION OF SECURITIES NOTICE Notice is hereby given that on 22 August 2007, an amended sworn statement was filed with the Securities and Exchange Commission for and on behalf of Cebu Air, Inc . for the registration of the following securities: (a) 72,025,000 new common shares of Cebu Air, Inc. (the "Primary Offer Shares") with par value of P1.00 per share to be offered at an offer price of up to P95.00; (b) 63,431;500 issued and outstanding common shares owned by the Selling Shareholder (the "Secondary Offer Shares") to be offered on the same terms and conditions as the Primary Offer Shares; (c) up to 20,318,475 issued and outstanding common shares owned by the Selling Shareholder subject to the Over-Allotment Option granted to the Stabilizing Agent under the same terms and conditions as the Primary and Secondary Offer Shares; (d) up to 10,225,000 new common shares to be offered pursuant to Cebu Air, Inc.'s Executive Stock Option Plan at a price equal to the initial public offering price per share; and (e) up to 1,500,000 new common shares to be offered pursuant to Cebu Air, Inc.'s Employee's Stock Purchase Plan at a subscription price based on fair market value less a discount of twenty percent (20%).
