July 4, 2005 IN THE MATTER OF THE JAMILA & COMPANY, INC. , Petitioner . VOLUNTARY REVOCATION OF REGISTRATION OF SECURITIES AND CERTIFICATE OF PERMIT TO SELL SECURITIES NOTICE Notice is hereby given that on January 5, 2005, a duly verified Petition for Voluntary Revocation of Registration of Securities and Certificate of Permit to Sell Securities was filed with the Commission by Jamila & Company, Inc ., stating among others, the following: 1. That on August 11, 1961, the Commission issued (a) an Order on the registration of petitioner's securities constituting its authorized capital stock of P2,000,000.00, divided into 16,000 preferred shares and 4,000 common shares or a total of 20,000 shares, of all which has a par value of P100 each, and (b) a Certificate of Permit authorizing the sale of petitioner's unissued shares consisting of P2,100.00 worth of common shares and P1,557,900.00 worth of preferred shares; aHSTID 2. That on February 1997, the Commission approved the amendment to petitioner's Articles of Incorporation on the convertibility of preferred shares into common shares at the option of the stockholder concerned (Art. 8); 3. That pursuant to its Certificate of Permit to Sell Securities, petitioner sold a total of 15,358 shares (preferred and common) worth P1,535,800 to more or less 1,014 stockholders; 4. That from the period 1992 up to 1998, more than 900 stockholders either sold their shares pursuant to then existing provisions of the petitioner's articles of incorporation while the rest converted all their preferred shares into common stocks pursuant to petitioner's amended articles of incorporation. Thus, since 1999 up to the present, petitioner has a subscribed and paid up capital of P1,390,600.00 all of which are common stocks that are registered in the names of more or less 80 stockholders of which about 94.2% thereof, are owned by 9 individuals, specifically the Jamila family; 5. That on March 10, 2004, the board of directors resolved to file a petition for the revocation of the registration of its securities and certificate of permit to sell securities, to carry out the corporate plan of reducing the number of 80 stockholders to less than 20 stockholders at the soonest possible time. Aforesaid Petition, which shall be subject to the approval of the Commission, as well as other papers/documents attached thereto, are open to inspection by interested parties during business hours, and copies thereof, photostatic or otherwise, shall be furnished to every party at such reasonable fees as the Commission may prescribe.
