2007 IN THE MATTER OF NATIONAL REINSURANCE CORPORATION OF THE PHILIPPINES, registrant REGISTRATION OF SECURITIES NOTICE Notice is hereby given that on 2 March 2007, a sworn registration statement was filed with the Securities and Exchange Commission for and on behalf of NATIONAL REINSURANCE CORPORATION OF THE PHILIPPINES for the registration of 638,000,000 common shares of the Corporation, consisting of 489,493,700 common shares to be issued from the existing authorized but unissued capital stock of the Corporation and 148,506,300 common shares to be re-issued from its treasury capital stock with par value of Php1.00 per share. The application for registration of securities includes an option in favor of the underwriter to purchase up to 103,902,600 common shares out of the authorized but unissued common shares to cover over-allotments. These shares shall be offered to the public at an Offer Price Range of PhP3.36 to PhP4.62 per share.
