2007 CORPORATION FINANCE DEPARTMENT IN THE MATTER OF PHILIPPINE NATIONAL BANK REGISTRATION OF SECURITIES NOTICE Notice is hereby given that on May 18, 2007, a sworn registration statement was filed with the Securities and Exchange Commission for and on behalf of PHILIPPINE NATIONAL BANK for the registration of the following: (1) Up to 78,260,870 unissued common shares that may be offered and sold by way of a primary offering; and (2) Up to 11,739,130 unissued or outstanding common shares to cover any over-allotments. The offer price shall be computed based on the volume-weighted average trading price of the Shares in the PSE for certain days that will determined by PNB and ending on a date in 2007 subject to the discount or 0-10%.
