REGISTRATION OF SECURITIES NOTICE Notice is hereby given that on 23 March 2007, a sworn registration statement was filed with the Securities and Exchange Commission for and on behalf of ALLIANCE GLOBAL GROUP, INC. for the registration of the following: (i) Up to 1,800,000,000 unissued common shares to be offered and sold by way of a primary offering; (ii) Up to 1,330,435,000 outstanding shares that may be offered and sold by way of a secondary offering; and (iii) Up to 470,000,000 unissued or outstanding shares to cover any over-allotment.
