December 23, 2008 SEC CASE NO. 12-08-253 IN RE: SHINING ARMOUR PROPERTY, INC. , petitioner . VOLUNTARY DISSOLUTION OF A CORPORATION WHERE CREDITORS ARE AFFECTED UNDER SEC. 119 OF THE CORPORATION C OD E OF THE PHILIPPINES O R D E R For consideration of the Commission is the Petition for Voluntary Dissolution under Section 119 of the Corporation Code dated 10 December 2008 filed by Shining Armour Property, Inc. ("Petitioner" for brevity) on 18 December 2008. ASaTCE A reading of the same reveals that it is insufficient in form and substance as the signatory in the Petition is different from the affiant in its Verification and Certification. The person named in the Secretary's Certificate as authorized to sign the Petition is different from the person who signed the said Petition. Moreover, the Petition lacks the following: 1. Date of execution of the Verification and Certification of the subject Petition and the Secretary's Certificate; 2. Latest Audited Financial Statements ("AFS") for the year ended 2007 duly stamped received by the Bureau of Internal Revenue ("BIR") and the Commission and/or Interim AFS for the current fiscal year; 3. Detailed List/Inventory of assets and properties of the petitioner, including but not limited to, certificates of title to or registration of personal or real properties, shares of stock, securities, bank deposits and the like; 4. Schedule of Liabilities indicating the name of the creditors, their addresses, their claims and the nature of their claims or how they became creditors; 5. Detailed list of cases pending before the courts, Commission, BIR, Bangko Sentral ng Pilipinas, and other administrative or quasi-judicial agencies of the government, if any; and 6. General Information Sheet for the year 2007 or 2008, as the case may be. In view of the foregoing, the Petition is hereby DISMISSED, without prejudice. SO ORDERED.
