August 15, 1988 SEC-BED * MEMORANDUM CIRCULAR NO. 08-88 TO : Manila Stock Exchange Makati Stock Exchange Stock Brokers/Dealers Directors, Officers & Employees of Listed Companies RE : Rules Prohibiting Brokers from Dealing on or Otherwise Buying or Selling Securities of Listed Companies Where any of its Directors, Officers or Employees are also Directors or Officers of such Listed Companies (January 18, 1978) Rules Regulating Trading by Broker or Dealer Who is a Director or Officer of the Issuer of a Listed Security (January 29, 1973) BED Circular No. 1, Series of 1988 re: Partners/Executive Officers Representing a Brokerage Firm on the Floor of the Exchange Must Register as Salesman (January 14, 1988) WHEREAS, the promotion of sound and fair trading in securities and the protection of the interest of the investing public are of primary concern to the Commission; prcd WHEREAS, it has come to the information of the Commission that subject Rules and Circular have not been followed by those concerned and flagrant violations thereof committed. Be it known, therefore, that the Commission owes it to the investing public to implement strictly the subject Rules and Circular, accordingly, violations thereof shall be dealt with proportionate severity. llcd (SGD.)
