January 26, 1994 SEC-BED * MEMORANDUM CIRCULAR NO. 02-94 TO : All Registered Issuers SUBJECT : Issuance/Sale of Securities Abroad DATE : February 2, 1994 Pursuant to the reportorial requirements of the Revised Securities Act, all registered issuers who have issued/sold securities abroad are hereby required to file with this Commission all pertinent documents relative to said issuance or sale including but not limited to the following information: 1. Number, issue price and value of securities authorized to be issued/sold. 2. Type of securities authorized to be issued/sold. 3. Date and place of issuance or sale. 4. A Summary of the terms and conditions of the issuance or sale. 5. Underwriters and/or selling agents involved in the offering of said securities. 6. Sample of securities instrument issued/sold. 7. Prospectus, brochures or other printed materials that were distributed in connection with said offering. Said documents must be filed with this Commission not later than thirty (30) calendar days from actual receipt hereof. Henceforth, all registered issuers proposing to offer for sale/sell securities abroad are required to file with this Commission a request for exemption from the registration and/or licensing of the Revised Securities Act containing the aforementioned information and pay the filing fee of 1/200 of 1% of the total issue value of the securities to be offered or sold, otherwise a penalty of 1/100 of 1% of the total issue value shall be imposed and collected.
