January 30, 1987 SEC-BED * MEMORANDUM CIRCULAR NO. 01-87 TO : All Issuer Corporations of Registered Securities SUBJECT : Periodic and Other Reports Pursuant to Sec. 11 of the Revised Securities A c t Pursuant to Section 11 of the Revised Securities Act mandating issuers of registered securities to keep current the information and documents contained in their Registration Statement as well as with the disclosure requirements of existing rules, all corporations whose securities are registered are hereby required to file with the Commission, and the Stock Exchanges if the security is listed, a quarterly report, starting the first quarter of 1987 containing such information/data relative to the following: llcd 1. New projects or investments in another project, line of business or corporation; 2. Composition of Board of Directors; 3. Performance of the corporation or result/progress of operations; 4. Suspension of Operations; 5. Declaration of dividends; 6. Contracts of merger, consolidation or joint venture; contract of management, licensing, marketing, distributorship, technical assistance or similar agreements; 7. Financing through loans; 8. Offering of rights, granting of Stock Options and corresponding plans therefor; 9. Acquisition of additional mining claims or other capital assets or patents, formula, real estates; 10. Discovery of mineral ore, oil, etc. 11. Any other information, event or happening that may affect the market price of a security; and 12. Transferring of assets, except in normal course of business. The report must be filed with the Commission and/or Stock Exchanges within fifteen (15) days after the last day of March, June, September and December in the attached prescribed form. Failure to comply herewith will be considered a violation of the terms and conditions of the Order of Registration of Securities/Permit granted to the issuer and accordingly penalized pursuant to the Revised Securities Act. It shall be understood that the requirement of existing rules on disclosure of material facts immediately after their occurrence shall remain in force and effect.
